Terms of Use

These Terms of Use (“Terms”) govern access to and use of the analytical testing services provided by Accumark Labs (“Accumark,” “we,” “us,” or “our”), including sample testing, reports, certificates of analysis (“COAs”), online portals, and related services (collectively, the “Services”).

By submitting a sample, placing an order, or using the Services, you agree to these Terms and to Accumark’s Privacy Policy, available at /privacy-policy/.


1. Scope of Services

Accumark provides independent, third-party analytical testing services for substances and materials submitted by clients (“Samples”) for research and informational purposes only.

Accumark does not manufacture, sell, distribute, approve, certify, or endorse any product or substance.


2. Client Certifications & Sample Eligibility

By submitting Samples, you represent and warrant that:

  • Samples are NOT human or animal specimens

  • Samples are NOT infectious, biohazardous, radioactive, or otherwise hazardous

  • Samples are NOT intended for human or veterinary use

  • Samples are submitted solely for research or analytical purposes

  • You have lawful possession of and authority to submit the Samples

Accumark reserves the right, at its sole discretion, to refuse or discontinue analysis of any Sample that:

  • Poses safety, regulatory, or operational risk

  • Is improperly labeled, insufficient in quantity, or non-conforming

  • Falls outside Accumark’s analytical scope

Risk of loss or damage to Samples remains with the client until accepted by Accumark.


3. Research-Use-Only Disclaimer

All Services, test results, reports, and COAs provided by Accumark are:

  • For Research Use Only (RUO)

  • Not for diagnostic, therapeutic, medical, or consumer use

  • Not intended to establish safety, efficacy, or regulatory compliance for human consumption

Clients assume full responsibility for interpretation, application, and downstream use of results.


4. No Medical or Clinical Advice

Nothing provided by Accumark, including test results, reports, COAs, interpretations, or communications, constitutes medical, clinical, diagnostic, or therapeutic advice.

Accumark does not provide guidance regarding the safety, efficacy, dosage, or suitability of any substance for human or animal use. Clients must not rely on Accumark’s Services or results for medical decision-making, treatment, diagnosis, or patient care.


5. Turnaround Times & Delays

Any stated turnaround times are estimates only and may vary based on sample condition, method suitability, workload, or operational factors.

Accumark shall not be liable for delays caused by sample issues, supply shortages, instrument availability, force majeure events, or factors beyond reasonable control.


6. No Warranties

Services are provided “as is” and “as available.”

Accumark disclaims all warranties, express or implied, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Regulatory acceptance or approval

  • Accuracy beyond stated analytical uncertainty

Results apply only to the specific Sample tested at the time of analysis.


7. Limitation of Liability

To the maximum extent permitted by law:

  • Accumark shall not be liable for indirect, incidental, consequential, special, or punitive damages

  • Accumark’s total liability for any claim shall not exceed the amount paid for the specific Services giving rise to the claim


8. Indemnification

You agree to indemnify and hold harmless Accumark, its officers, employees, and affiliates from any claims, losses, damages, or expenses arising from:

  • Misuse or misrepresentation of test results

  • Downstream use, distribution, or sale of tested materials

  • Violation of applicable laws or regulations


9. Intellectual Property & Reports

  • Accumark retains ownership of all analytical methods, procedures, and technologies

  • Clients receive a non-exclusive, non-transferable license to use reports and COAs for lawful, internal research purposes

  • Reports may not be altered, selectively quoted, or used in a misleading manner


10. Force Majeure

Accumark shall not be liable for failure or delay caused by events beyond reasonable control, including acts of God, labor disputes, supply disruptions, transportation delays, equipment failure, or regulatory actions.


11. Modifications

Accumark may update these Terms at any time. Continued use of the Services after updates constitutes acceptance of the revised Terms.


12. Governing Law

 

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
